Terms of Service

1. Acceptance of Terms

By accessing or using the TicketWave platform (“Platform”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you must not use the Platform. These Terms constitute a legally binding agreement between you and TicketWave.

2. Account Registration

  • You must provide accurate, complete, and current information when creating an account.
  • Each individual or business may maintain only one account on the Platform.
  • You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
  • You must notify us immediately at support@ticketwavehq.com if you suspect any unauthorised use of your account.

3. Platform Description

TicketWave is a white-label ticketing software-as-a-service (SaaS) platform that enables venue owners and event organisers to create, manage, and sell tickets for their events. The Platform provides tools for event management, ticket sales, QR code generation, door scanning, analytics, and affiliate marketing.

4. Venue Owner Obligations

As a venue owner or event organiser using the Platform, you agree to:

  • Provide accurate and truthful event information, including dates, times, locations, descriptions, and pricing.
  • Comply with all applicable local, national, and international laws and regulations relating to your events, including licensing, health and safety, and consumer protection.
  • Clearly communicate any age restrictions applicable to your events and take reasonable steps to enforce them.
  • Not exceed venue capacity limits as defined by local regulations and your venue licence.
  • Honour all tickets sold through the Platform and provide the event experience as described.

5. Ticket Purchaser Terms

  • Tickets purchased through the Platform are non-transferable unless the venue owner has explicitly enabled ticket transfers for that event.
  • Refund policies are set by each individual venue owner. Please review the refund policy for each event before purchasing. See our Refund Policy for more details.
  • Each ticket includes a unique QR code that must be presented for entry. Duplicating or sharing QR codes may result in denied entry.
  • TicketWave acts as a facilitator between you and the venue owner. The contract of sale for the ticket is between you and the venue owner.

6. Payment Terms

  • All payments are processed securely through Stripe, including Stripe Connect for venue payouts.
  • TicketWave charges a commission on each paid ticket sold through the Platform. Commission rates are detailed on our pricing page.
  • Venue payouts are processed according to the payout schedule configured in your Stripe Connect account, typically within 2–7 business days after the transaction.
  • All prices displayed on the Platform are inclusive of applicable taxes unless otherwise stated.

7. Commission Structure

TicketWave charges a per-ticket commission on paid ticket sales. Free tickets carry no commission. For full details on our current commission rates and pricing tiers, please refer to our pricing page on the Platform.

8. Affiliate Programme

  • The TicketWave affiliate programme allows approved participants to earn commissions by referring ticket sales through unique tracking links.
  • Commission rates are set by individual venue owners and tracked automatically by the Platform.
  • A minimum payout threshold applies before commissions can be withdrawn.
  • Self-referral (purchasing tickets through your own affiliate link) is strictly prohibited and will result in commission forfeiture.

9. Intellectual Property

  • The TicketWave platform, including its software, design, branding, and documentation, is the intellectual property of TicketWave and is protected by copyright and other intellectual property laws.
  • Venue owners retain full ownership of their event content, including event descriptions, images, and branding uploaded to the Platform.
  • By uploading content to the Platform, venue owners grant TicketWave a non-exclusive, worldwide licence to display and distribute that content solely for the purpose of operating the Platform and promoting the venue's events.

10. Prohibited Uses

You must not use the Platform to:

  • Engage in fraud, including creating fictitious events or selling tickets to non-existent events.
  • Resell tickets at inflated prices (scalping) unless explicitly permitted by the venue owner.
  • Scrape, crawl, or use automated tools to extract data from the Platform without our written consent.
  • Send spam or unsolicited communications using contact information obtained through the Platform.
  • Promote or facilitate illegal activities, including events that violate local laws or regulations.
  • Attempt to circumvent, disable, or interfere with the Platform's security features.

11. Data Protection

We are committed to protecting your personal data. Our collection, use, and handling of personal data is governed by our Privacy Policy, which forms part of these Terms.

12. Limitation of Liability

To the maximum extent permitted by applicable law, TicketWave shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising out of or in connection with your use of the Platform.

TicketWave's total aggregate liability for any claims arising from or relating to these Terms or the Platform shall not exceed the total fees paid by you to TicketWave in the twelve (12) months preceding the claim.

TicketWave is not liable for the actions, omissions, or conduct of venue owners, event organisers, or ticket purchasers.

13. Indemnification

You agree to indemnify, defend, and hold harmless TicketWave and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Platform, your violation of these Terms, or your violation of any third-party rights.

14. Termination

  • Either party may terminate the agreement at any time by providing written notice.
  • TicketWave reserves the right to suspend or terminate your account immediately if you breach these Terms.
  • Upon termination, you may request an export of your data within 30 days. After this period, your data will be deleted in accordance with our Privacy Policy.
  • Sections relating to intellectual property, limitation of liability, indemnification, and governing law shall survive termination.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of Spain and applicable European Union regulations. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Spain, without prejudice to any mandatory consumer protection provisions in your country of residence.

16. Dispute Resolution

In the event of a dispute, we encourage you to contact us first at support@ticketwavehq.com so that we can attempt to resolve the matter amicably. If we cannot reach a resolution, disputes shall be submitted to the competent courts as outlined in the Governing Law section. EU consumers may also use the European Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

17. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide at least 30 days' notice of any material changes by email or by posting a prominent notice on the Platform. Your continued use of the Platform after the notice period constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Platform and may terminate your account.

18. Entire Agreement

These Terms, together with the Privacy Policy, Cookie Policy, Refund Policy, and Affiliate Terms, constitute the entire agreement between you and TicketWave regarding your use of the Platform and supersede all prior agreements and understandings.
